1.About these terms
These Terms of Service (“Terms”) are an agreement between Atrodious (“we”, “us”) and the organisation or person using our website or services (“you”, the “Client”).
Each project is also described in a signed statement of work. If a statement of work or a signed master agreement conflicts with these Terms, the signed document prevails for that project.
2.Definitions
- Services: the model training, fine-tuning, data, evaluation, deployment, and operations work described in a statement of work.
- Statement of Work (SOW): the signed document setting out scope, deliverables, timeline, and fees for a project.
- Client Data: data, documents, and other material you provide, or that we access on your behalf, to perform the Services.
- Model Artifacts: trained weights, adapters, checkpoints, and tokenizers produced for you.
- Deliverables: Model Artifacts plus the code, datasets, evaluation reports, and documentation we create specifically for you under an SOW.
- Pre-existing Materials: tools, libraries, and know-how we owned or developed independently of your project.
- Third-party Models: base models, datasets, and software owned by others, including open-weight models and hosted model APIs.
3.Using this website
Content on this website is for general information and is not an offer. Case studies marked “Illustrative” are representative examples, not reports of specific client results.
You may not scrape the site to build datasets, probe it for vulnerabilities without our written permission, or use it in a way that disrupts it for others.
4.Our services
We perform the Services described in each SOW. Changes to scope, timeline, or fees are agreed in writing through a change request before the work changes.
We use our own staff. Subcontractors, including third-party annotators, are used only with your prior written approval, and we remain responsible for their work.
5.Your responsibilities
- You have the rights and consents needed for us to process Client Data for the project.
- You provide the access, environments, and decisions the SOW depends on, in reasonable time.
- You comply with the licence terms of any Third-party Model used in your Deliverables, including any acceptable-use restrictions.
- You decide how the Deliverables are used in your business, including any human review required in regulated or high-impact decisions.
6.Fees and payment
Fees, invoicing schedule, and currency are set out in the SOW. Unless stated otherwise, invoices are due within 15 days and fees exclude GST and other applicable taxes, which you pay in addition.
Where you choose EMI (installment) financing, the installment schedule in the SOW applies. Overdue amounts may carry interest of 1% per month or the maximum allowed by law, whichever is lower.
If an undisputed invoice is more than 30 days overdue, we may pause the Services after giving you written notice.
7.Client Data
You own your Client Data. We use it only to perform the Services for you, and never to train models for other clients or for ourselves.
Where Client Data includes personal data, our data-processing agreement applies. At the end of a project we delete Client Data from systems we control and confirm the deletion in writing, unless the law requires us to keep it.
8.Intellectual property and model ownership
On payment of the fees for them, we assign to you all rights in the Deliverables, including the Model Artifacts. Under EMI financing, rights pass as each milestone is paid.
We keep ownership of our Pre-existing Materials. Where they form part of a Deliverable, you receive a perpetual, royalty-free, non-exclusive licence to use them as part of that Deliverable.
Ownership of the Deliverables does not transfer rights in Third-party Models, which remain subject to their own licences.
9.Third-party and open-source models
Deliverables may be built on Third-party Models. We select them with your agreement and tell you which licences apply, but we do not give warranties on behalf of their owners, and their availability, pricing, or terms may change outside our control.
10.AI outputs
Language models produce probabilistic outputs that can be inaccurate or incomplete. Evaluation results describe performance on the agreed test sets, not a guarantee of every future output. You remain responsible for decisions made using model outputs.
11.Confidentiality
Each party keeps the other's confidential information secret, uses it only for the project, and shares it only with people who need it and are bound by similar duties. These obligations last for three years after the project ends, and for trade secrets for as long as they remain trade secrets.
12.Warranties and disclaimers
We will perform the Services with reasonable skill and care, in line with good industry practice. If a Deliverable does not meet the acceptance criteria in the SOW, we will re-perform the affected work at no extra cost. Otherwise, and to the extent the law allows, the Services and website are provided without other warranties, express or implied.
13.Limitation of liability
Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, or data arising from the other party's use of the Deliverables.
Each party's total liability under an SOW is limited to the fees paid or payable under that SOW in the 12 months before the claim. These limits do not apply to breach of confidentiality, the indemnities below, fraud, or liability that cannot be limited by law.
14.Indemnities
- We will defend you against third-party claims that our Pre-existing Materials, as delivered, infringe intellectual property rights, and pay the resulting damages or settlements.
- You will defend us against third-party claims arising from Client Data you provided without the necessary rights, or from your use of the Deliverables in breach of these Terms or applicable law.
15.Term and termination
Either party may end an SOW if the other materially breaches it and does not fix the breach within 30 days of written notice. You may also end an SOW for convenience with 30 days' written notice.
On termination you pay for work performed up to the termination date, we hand over the Deliverables paid for, and we delete Client Data as described above.
16.Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve a dispute through good-faith discussion for 30 days. Unresolved disputes go to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai and conducted in English. The courts of Mumbai have jurisdiction for interim relief.
17.General
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Assignment: neither party may assign an SOW without the other's consent, except as part of a merger or sale of its business.
- Entire agreement: these Terms and the SOW are the whole agreement for a project.
- Severability: if a provision is unenforceable, the rest remains in effect.
18.Changes to these terms
We may update these Terms and will change the date at the top when we do. Changes do not affect SOWs already signed unless both parties agree in writing.
